CPA Coordination: Taxes, Wealth, and What Happens After a Sale

Planning to Sell Your Business? Fee-Only Exit Planning in Northern Colorado

You've built the business. You may be thinking about an exit. What the business might sell for, what you might keep after taxes, and how proceeds would be invested are planning questions—not results we can guarantee. Tax treatment depends on facts, structure, and current law. Confirm with your CPA or attorney. This page is not tax, legal, or accounting advice.

  • Fee-only fiduciary — no commissions; the firm receives no portion of custodian commissions
  • SEC-registered RIA (CRD #300811). Registration does not imply a certain level of skill or training.
  • Dillon is a CPA and CFP® — tax questions and wealth-planning questions in one conversation
  • Loveland office serving Northern Colorado business owners

CPA Coordination and Investment Advice

Selling a business is both a tax event and a wealth event. Dillon Goodman holds both the CPA and CFP® designations. Exit-related planning can address after-tax proceeds questions, investment strategy, and longer-term financial goals, and we can coordinate with your CPA and attorney. We do not guarantee after-tax amounts, investment results, or that a sale will occur.

Exit Planning for Northern Colorado Business Owners

Planning before a sale

When you start is your decision. We can help you:

  • Discuss possible after-tax outcomes under different sale structures (for example, asset vs. stock sale, installment sale, earnout)—illustrative only; not a tax opinion and not a predicted result
  • Coordinate with your CPA and attorney on tax questions
  • Discuss building wealth outside the business before a sale
  • Discuss what a post-sale balance sheet might look like and how proceeds might be invested if a sale occurs

We do not guarantee what you will keep after taxes.

After-tax proceeds coordinated with your CPA or attorney

Sale structure, capital gains treatment, state taxes, and timing can affect what you keep. Dillon is a Colorado CPA and can coordinate with your tax advisor and attorney to model possible tax outcomes. Modeling is not a guarantee. Confirm all tax consequences with your CPA or attorney.

Wealth outside the company

If the business is a large share of net worth, you are concentrated in one asset. We can discuss a diversified portfolio outside the business over time. That is not a promise that a sale will be a “wealth transfer” or that you will have a stated amount invested outside the company.

What happens to cash after closing?

If a sale closes, planning questions can include:

  • Whether you retire, start something new, or keep working
  • Spending from a portfolio (we do not guarantee that you will not run out of money)
  • How a lump sum might be invested (we do not guarantee returns or that risk will be “necessary” or “unnecessary”)

If engaged, we can provide financial planning and investment management as a fee-only fiduciary. We do not guarantee investment returns or results.

What we are not

We are not a business broker, M&A advisor, or valuation firm. We do not find buyers, negotiate deals, or provide formal business appraisals.

We can help you plan around the financial questions of a sale and, if engaged, manage investments after it happens. Business transition & sale is a named planning service; it is not a promise of a completed transaction.

How We're Paid

Vital Investment Management, LLC is fee-only. We do not earn commissions. The firm receives no portion of custodian commissions.

Fee-only does not mean no conflicts. An asset-based investment management fee creates a conflict: we earn more when assets under management are higher. Fees are negotiable.

Investment management (new assets in 2026): flat 1.00% annually of assets under management. Fees can be deducted from the custodial account with written authorization. Some existing clients are on a legacy tiered schedule (1.50% / 1.00% / 0.75% / 0.50%).

Financial planning:

  • Hourly: $300/hour
  • Fixed-fee projects: minimum generally $1,500
  • Ongoing planning: $200/month (basic); $500–$700/month (complex)

How It Works

Step 1

1. Book a call or send a message

Book the 30-minute intro call, or fill out the short form above.

Step 2

2. We discuss a post-sale financial picture

We can discuss possible after-tax proceeds under a range of assumptions, coordinate with your CPA and attorney on tax questions, and discuss a financial plan for life after a sale. Models are not guarantees and are not tax opinions.

Step 3

3. If both parties agree to work together

Services can include planning around wealth outside the business, investment management of proceeds after closing if a sale occurs, and ongoing investment management as a fee-only fiduciary. We do not guarantee returns, tax results, or that a sale will close.

Frequently Asked Questions

Is this a sales pitch?

The 30-minute intro call is a conversation. You'll describe your business, your timeline, and what you're trying to accomplish. We'll explain how we work. You decide if you'd like to take a next step. Booking a call does not create an advisory relationship.

What does it cost?

Exit-related work is financial planning: $300/hour or a fixed fee (minimum generally $1,500). Ongoing planning: $200/month (basic); $500–$700/month (complex). Investment management for new assets in 2026 is a flat 1.00% annually of assets under management. Some existing clients are on a legacy tiered schedule (1.50% / 1.00% / 0.75% / 0.50%). No commissions. An AUM fee still creates a conflict because we earn more when assets under management are higher. Full fee schedule in our Form ADV.

Can you help me find a buyer?

No. We are not business brokers or M&A advisors. We can help you plan around the financial questions of a sale and, if engaged, manage investments after it happens. Finding buyers and negotiating a deal are not our services.

Can you value my business?

We do not provide formal business appraisals or valuations. You would need an appraiser or other valuation professional for a formal valuation. We can discuss financial outcomes under a range of assumed sale prices. Those discussions are not a valuation.

Where are my assets held?

Client assets are held in the client's own name at a qualified custodian. We recommend Charles Schwab & Co., Inc. (Schwab Institutional), which is independent and not affiliated with Vital Investment Management. The client decides.

Do you guarantee returns?

No. We do not guarantee investment returns or results. Past performance is not indicative of future results.
